- Final Deliverables – The completed and approved work provided to the client.
- Project – The defined scope of services agreed upon between the parties.
- Services – Development, consulting, or related professional work performed.
- Third-Party Materials – External software, plugins, assets, or services not owned by us.
Service Delivery
Services are provided in accordance with the milestones and timelines outlined in the Agreement. We apply professional judgment and commercially reasonable efforts when delivering services.
While we strive to meet projected timelines, outcomes may depend on client input and external factors.
Proposals and Scope
Proposals remain valid for 30 days unless otherwise stated. If not accepted within this period, we reserve the right to revise and resubmit the proposal.
Fees, Expenses, and Taxes
Unless otherwise specified:
- Third-party costs are billed separately.
- Approved project-related expenses may be charged at cost.
- The client is responsible for applicable taxes associated with services.
Payment Terms
Invoices are due within five (5) days unless a different payment schedule is agreed upon in writing. Projects may follow milestone-based payments as defined in the Agreement.
Late payments may result in project suspension until outstanding balances are resolved.
Changes to Scope
All change requests must be submitted in writing.
Minor adjustments that do not significantly affect time or cost may be accommodated within the existing scope. Major modifications that impact timeline, complexity, or budget require a supplemental agreement.
Revised proposals remain valid for 14 working days unless otherwise stated.
Delays
Project timelines may be extended on a day-for-day basis if delays result from late approvals, incomplete materials, or other client-side factors.
If delays occur on our side, we will communicate promptly and work toward a reasonable resolution.
Events beyond reasonable control, including technical failures, third-party disruptions, or force majeure circumstances, do not constitute breach and may extend timelines.
Review and Acceptance
We conduct internal testing prior to delivering work for review.
Clients have seven (7) working days to review submitted Deliverables and provide feedback. Reasonable revisions will be addressed within a mutually agreed timeframe.
Client Responsibilities
The client agrees to:
- Provide lawful, accurate, and complete materials
- Ensure they have the right to use supplied content
- Review Deliverables carefully
- Provide timely approvals and decisions
Unless otherwise agreed, proofreading and final content accuracy remain the client’s responsibility.
Attribution and Portfolio Use
Unless agreed otherwise in writing, we may include a discreet accreditation link within delivered work.
We may also reference completed projects in our portfolio or marketing materials. Neither party will unreasonably restrict factual references.
Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties, except where required by law or already publicly available.
Independent Relationship
Laraveldevelopers.net operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment relationship, or exclusivity unless explicitly agreed in writing.
We may engage subcontractors while remaining responsible for service delivery.
Limitation of Liability
To the extent permitted by applicable law, services are provided on an “as is” basis.
Our total liability for any claim related to services is limited to the amount paid for the specific services giving rise to the claim.
Intellectual Property and Usage Rights
Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company Tools, frameworks, and reusable components remain our property unless explicitly transferred in writing. Unauthorized resale, redistribution, or derivative works beyond agreed usage may be restricted.
Support and Maintenance
Ongoing support is provided only if expressly agreed in writing and may be billed separately.
Any warranty becomes void if Deliverables are modified by third parties without authorization.
Updates to These Terms
We may update these Terms and Conditions from time to time. The version published on laraveldevelopers.net governs current use. Continued use of the website or services signifies acceptance of any revised terms.
